The All-Inclusive Photo Project is a diversity focused, open-source image library which aims to help the travel industry represent the world of people who travel. The photographs are being made free and available to all brands and media outlets, allowing the travel industry, as a whole, to come together in redressing this imbalance.
Celebrity Cruises grants permission to all brands and media outlets wishing to promote diversity in travel and tourism use of All-Inclusive Photo Project content so long as the following terms are accepted.
This Agreement and Terms of Use ("Agreement") governs your, or the employer or other entity on whose behalf you are entering into this agreement ("you" or "your"), access to, use of and activities on the All-Inclusive Photo Project website, which is owned and operated by Celebrity Cruises Inc., and Royal Caribbean Cruises Ltd. (collectively "Celebrity") and the other websites of Celebrity and its subsidiaries (together with such website, collectively, the "Website"). The Website is an online digital asset library tool that allows users to download content, including but not limited to all images, footage, videos, photographs, graphics, editorial, music and the like (collectively, the "Content") for the purpose of promoting diversity in travel and tourism.
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING OR ACCESSING THE WEBSITE. This Agreement limits Celebrity's liability and may substantively affect your rights. By accessing or using the public or private portions of the Website, you accept and agree to be bound by this Agreement. If you are accessing or using the Website on behalf of your employer or another person or entity, you represent and warrant that you have full legal authority to bind such employer or other person or entity. If you do not have such authority or you do not agree with this Agreement, do not access or use the Website.
1. ACCEPTANCE AND TERMS OF USE.
This Agreement incorporates by reference other agreement provisions applicable to the use of the Website, including but not limited to the Celebrity Privacy Policy. This Agreement governs your access and use of the Website and services therein (the "Services"), including but not limited to, the downloading and use of Content from the Website except to the extent stated otherwise on a specific page or agreement as provided by Celebrity. By using and/or registering to use the Services, you signify your assent to the terms of this Agreement, all applicable laws and regulations (including export and re-export control laws) and agree that you are responsible for compliance with any applicable local laws.
Celebrity reserves the right, in its sole discretion, to change, modify, delete, or otherwise alter portions of this Agreement and the guidelines, policies, restrictions and agreements posted on the Website periodically, at any time. Any such change, modification, deletion, or alteration shall be effective immediately upon posting the same on the Website or on a Celebrity website. Please check these terms periodically for changes. Your continued use of the Website or Services following the posting of such changes means you accept those changes.
If Celebrity determines, in its sole discretion, that you have violated this Agreement, Celebrity may prohibit you from using or accessing the Services or the Website for any reason with and/or without notice and reserves the right to pursue any other remedy. Celebrity shall have the right at any time to change or discontinue any Service or aspect of the Website, including, but not limited to, layout, accessibility, content, availability, and software or equipment needed for access or use.
2. CONTENT LICENSE AND USAGE RULES.
No Content may be downloaded or otherwise copied from the Website, unless you first agree to this Agreement, as the same may be changed by Celebrity from time to time and any and all Content that is downloaded from the Website is subject to and only may be downloaded and used on the terms and subject to the conditions and restrictions of this Agreement.
All Content, Content information and other works, content and materials (including the organization and presentation of the foregoing) on the Website (the "Materials") and copyrights and other intellectual property rights therein and thereto are the property of Celebrity and our licensors and are protected by copyright, trademark and other intellectual property laws. "Celebrity" is a registered trademark of Celebrity. The visual appearance of the Website is protected trade dress of Celebrity under U.S. and other law.
Unless you have entered into a separate written agreement with Celebrity, such as this Agreement and as may be expressly permitted by said agreement, any use of any of these Materials, including any modification, public display or performance, derivative use, exploitation or distribution, without Celebrity's written permission is strictly prohibited. No copyright and other intellectual property notices or watermark on any Materials shall be deleted or modified.
The materials available on this Website are protected by the copyright, trademark, and other laws of the United States and other countries. Except for the limited purposes which Celebrity or its subsidiaries and affiliates may have expressly approved in writing to you or except as provided by applicable law, these materials may not be reproduced, distributed, transmitted, displayed or modified in any form by any means.
Celebrity hereby grants you a non-exclusive, non-transferable right to use (except as expressly prohibited herein) and reproduce the Content worldwide, in perpetuity, as expressly permitted by the applicable license and subject to the limitations set forth herein for the purposes of promoting diversity in travel and tourism use (the "Purpose"), provided that the relevant photographers are credited appropriately, and the credit also includes the hashtag #ALLINCLUSIVE.
Except when credited as expressly outlined herein or in a separate license agreement between you and Celebrity, Celebrity does not grant any express or implied permission to use the Website or any Content. You agree not to copy, republish, frame, link to, download, transmit, modify, adapt, create derivative works based on, rent, lease, loan, sell, assign, distribute, display, perform, license, sublicense or reverse engineer the Website or any Content. In addition, you agree not to use any data mining, robots or similar data and/or image gathering and extraction methods in connection with the Website or Content.
3. PRIVACY.
Celebrity is committed to respecting the privacy of the personal information of the individuals with whom we interact. Celebrity's Privacy Policy describes our privacy policies and practices and how the personal information of those individuals who visit the Website and use Cookies is collected, used and disclosed. By accessing or using the Website or providing any personal information on the Website or otherwise to us, you are consenting to your personal information being with and collected, processed, shared and used and our use of cookies as provided in our Privacy Policy. 4. WARRANTIES.
THE WEBSITE, OUR SERVICES AND THE MATERIALS ARE PROVIDED "AS IS" WITHOUT ANY REPRESENTATION, WARRANTY OR GUARANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. WE DO NOT REPRESENT OR WARRANT THAT THE WEBSITE, OUR SERVICES OR ANY MATERIALS WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE UNINTERRUPTED OR ERROR FREE. Celebrity may, in its sole discretion, terminate your right to use Content at any time for any reason without notice. Celebrity may take action against any use of the Content that does not conform to these requirements or that may infringe any right held by Celebrity, and may actively seek the recovery of any costs it may incur preventing any such misuse or damages that may result from such misuse.
5. INDEMNIFICATION & LIMITATION OF LIABILITY.
CELEBRITY AND OUR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, PARTNERS AND AGENTS (INCLUDING US, COLLECTIVELY, the "Celebrity Parties") SHALL NOT BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, DIRECT, PUNITIVE, SPECIAL, INDIRECT, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES OR PROCEEDING ARISING UNDER THESE TERMS OF USE OR ARISING OUT OF YOUR OR ANY OF YOUR REPRESENTATIVES' USE OF THE WEBSITE, OUR SERVICES OR ANY OF THE MATERIALS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES, WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE. NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS OF USE, THE TOTAL MAXIMUM AGGREGATE LIABILITY OF THE CELEBRITY PARTIES UNDER THESE TERMS OF USE, OR THE ACCESS OR USE OF THE SITE OR ANY OF THE MATERIALS, SHALL BE LIMITED TO AN AGGREGATE OF ONE ($1) US DOLLAR, EVEN IF WE OR ANOTHER CELEBRITY PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold each of the Celebrity Parties harmless against all claims or liability asserted against any of us arising out of or in connection with any breach by you or anyone acting on your behalf of any of this Agreement, including but not limited to any and all third-party claims alleging violation of a third party's intellectual property rights arising from breach of this Agreement by you or anyone acting on your behalf.
6. GENERAL.
a. This Agreement applies and is effective at all times while you maintain a membership or access the Website.
b. The Service is not intended for users under the age of 18, and Celebrity does not knowingly collect personally identifiable information from users under the age of 18 on the Website. Such users are expressly prohibited from submitting their personally identifiable information to us, and from using our forums and chat areas; any information submitted by such users will not knowingly be used, posted, or retained by us.
c. You agree not to disrupt, overwhelm, attack, modify or interfere with the Service or its associated software, hardware and/or servers in any way, and you agree not to impede or interfere with others' use of the Service. You further agree not to alter or tamper with any information or materials on or associated with the Service. Other than connecting to Celebrity's servers by http requests using a Web browser, you may not attempt to gain access to Celebrity's servers by any means.
d. This Agreement shall be construed in accordance with the laws of the State of Florida without regard to its choice of law provisions. Any access to and use of the Website and the entering into this Agreement will be deemed to take place in the United States.
e. Any dispute regarding this Agreement will be resolved exclusively by a State or Federal court in Miami-Dade, Florida in the United States. Celebrity and you hereby waive any objection to venue, or to the inconvenience of the forum, of any such court or right to trial by jury to resolve any such dispute. The parties hereby consent to the jurisdiction of such courts.
